Terms of Service
These terms govern your use of the Berlin SaaS Club website and directory. By browsing the site, signing in, or adding and managing a listing, you agree to them. They're written in plain English; where they touch your privacy, the Privacy Policy applies as well.
1. What the Berlin SaaS Club is
The Berlin SaaS Club is a community project and a public, free, filterable directory of SaaS (software-as-a-service) companies that are situated or built in Berlin. Alongside the directory we run a community for the founders, builders and operators behind those products — sharing a member list, a map, and occasional events and introductions. The directory is open for anyone to browse without an account; adding or managing a listing requires signing in.
We offer the directory and community "as is", as a free service. We may change, add, or discontinue features at any time.
2. The operators
The Berlin SaaS Club is operated by Industrial Code & Magic GmbH (the "organisers" or "we"). Full operator, contact and register details are in our Imprint. You can reach us any time at mail@industrial-code-and-magic.com.
3. Your account
You sign in with your email address via a one-time code — there is no password to manage. You are responsible for the activity that happens under your account and for keeping access to your email secure. You must be entitled to act for any company you add or manage; we may ask you to verify control of a company's domain.
4. Listings and content you publish
When you add or manage a company, you publish information — company name, website, description, categories, location, links, logos, and the public professional details of founders — into a public directory. You confirm that:
- the information is accurate and not misleading;
- you have the right to publish it, including any logos, images and third-party details, and doing so infringes no one's rights;
- the listing describes a genuine SaaS product with a real, meaningful connection to Berlin — a company that is situated in Berlin or whose product is built here; and
- the content is lawful and follows the community rules below.
You keep ownership of what you publish. You grant us a non-exclusive, worldwide, royalty-free licence to host, display and distribute it as part of operating and promoting the directory and community (for example, showing your logo in the directory, on the map, or in the home-page hero). This licence ends when the content is removed, except for copies retained in routine backups.
5. Community rules
By using the Club, you agree not to:
- submit fake, placeholder, spam, or purely promotional listings for products that are not genuine SaaS;
- list a company that has no real connection to Berlin in order to appear in the directory;
- impersonate another company, founder, or person;
- publish unlawful, infringing, deceptive, hateful, or harassing content;
- claim or edit a listing you are not entitled to manage, or otherwise abuse the claim process;
- scrape, overload, probe, or attempt to circumvent the security or access controls of the site.
6. Removing listings — the organisers' right to take down
The Berlin SaaS Club is a curated, Berlin-specific directory, and keeping it genuine is the whole point. The organisers may therefore remove, hide, or unpublish any listing at any time, giving the owner reasonable notice (normally by email to the account that manages it), in particular where a listing:
- is not a real SaaS product — e.g. a placeholder, a non-software business, vapourware, or a duplicate;
- is not genuinely situated or built in Berlin, i.e. it has no meaningful connection to the city;
- breaks the community rules in §5 or is otherwise unlawful or harmful.
Where the issue is fixable (for example, an out-of-date detail), we'll normally flag it and give you a chance to correct it before removing the listing. Where content is clearly unlawful, infringing, or harmful, or where security is at risk, we may remove it immediately and notify you afterwards. Removal of a listing is at the organisers' reasonable discretion; it does not affect your right to add a corrected listing later, and you can ask us to reconsider by replying to the notice. You can also remove your own listing or close your account at any time.
7. Intellectual property
The Berlin SaaS Club name, the site design, the 3D hero, the map, and the software behind them belong to the organisers and are protected by law. Company names and logos shown in the directory belong to their respective owners and are used to identify those companies. Map street geometry is based on OpenStreetMap data, © OpenStreetMap contributors, under the Open Database License (ODbL); see the Imprint.
8. Third-party content and links
The directory links to external company websites and other third-party resources we don't control. We're not responsible for their content. A listing appearing in the directory is not an endorsement, and we don't guarantee that any listed company's claims, products, or availability are accurate.
9. Disclaimer and liability
The service is provided free of charge, "as is" and "as available", without warranties of any kind, to the extent permitted by law. We do not warrant that the directory is complete, accurate, or uninterrupted.
Nothing in these terms limits our liability for damage arising from injury to life, body, or health, for intent or gross negligence, or under the German Product Liability Act (Produkthaftungsgesetz), or any other liability that cannot be limited by law. Otherwise, for slight negligence we are liable only for breach of a material contractual obligation (a duty whose fulfilment makes proper performance possible and on which you may reasonably rely), and only for foreseeable, typical damage.
10. Termination
You may stop using the service and delete your account or listings at any time. We may suspend or terminate your access, with notice, if you breach these terms or the community rules, or where required by law. Provisions that by their nature should survive — such as intellectual property, disclaimers, and liability — continue to apply after termination.
11. Changes to these terms
We may update these terms to reflect changes to the service or to legal requirements. We'll post the updated version here and, for material changes affecting signed-in users, give reasonable notice. Continuing to use the service after a change means you accept the updated terms.
12. Governing law and jurisdiction
These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer-protection rights of your country of residence remain unaffected. Where you are a merchant, legal entity under public law, or special public-law fund, the exclusive place of jurisdiction is Berlin.
